FRAMEWORK COURIER AGREEMENT - March 2026
This Framework Delivery Agreement (Agreement) is made between you and delivery.webdeli.co.uk 3 Chesterton Place, Chester Road, Newquay TR7 2RU
Agreed Terms
This Framework Delivery Agreement is made up of the following sections:
SECTION A Account Terms and Conditions
As a self-employed courier, you will only be providing services to Webdeli when you make a Delivery for us. However, there will be an ongoing contractual relationship between you and us that deals with matters such as your delivery account with us. These Account Terms and Conditions will therefore apply throughout the duration of this Agreement.
SECTION B Run Terms and Conditions
These Run Terms and Conditions will apply when arranging Runs and during the course of such Runs.
SECTION C Template Delivery Agreement
During a Run we may offer you Delivery Opportunities that will involve collecting an order from a retailer or other business and delivering it to a customer at their chosen address. If you accept a Delivery Opportunity that we send you via the App, that Delivery will be governed by the same terms and conditions as those set out in the Template Delivery Agreement.
SECTION A
Account Terms and Conditions
1) Definitions The following definitions apply throughout this Agreement: App: means the Webdeli Delivery mobile application. Delivery: means the collection of an order from a retailer or other business and delivery of that order to a customer in accordance with the terms of the relevant Delivery Agreement.
Delivery Agreement: means an agreement between you and Webdeli to undertake a Delivery.
Delivery Opportunity: means a notification to you via the App containing an offer for you to undertake a Delivery.
Delivery Run: means a scheduled period of time we may allocate to you in response to you indicating your availability via the App.
Open Run: means a period of time we have designated during which you can select via the App to make yourself available for Delivery Opportunities without the need for a Delivery Run having been allocated to you.
Run: means a Delivery Run we have allocated to you or an Open Run you have selected.
2) Commencement and term This Agreement will commence on the date that you accept it and will continue subject to the terms of clause 9 of Section A (Ending this Agreement).
3) Status and providing services to others
3.1 You are a self-employed contractor, and you are under no obligation to provide any services to us.
3.2 This is not an employment contract or worker agreement, and you are not an employee or worker of Webdeli. You are not entitled to any employment or worker rights or benefits.
3.3 There is no restriction on you providing services to anyone else, including our competitors. You may provide services to anyone else at any time, including during a Run or a Delivery.
3.4 You are free to undertake a Delivery in any way you deem suitable, subject to you complying with the terms of this Agreement and, the terms of any relevant Delivery Agreement(s).
4) Conditions
4.1 In order to provide courier services to us you must meet the following conditions: a) You must be at least 18 years of age, have the right to work legally in the UK and have a valid courier account with us. b) You must have access to a smart phone operating on iOS or Android platforms that is capable of downloading and running the App and you must have downloaded an up-to-date version of the App. c) You must have use of a sealable, commercial grade, and insulated food transportation bag if a food delivery is required. d) Any vehicle you use to undertake Deliveries must be roadworthy and compliant with UK law, be operated only by persons with a valid driving licence and be properly insured for being in business as a courier delivering hot food and other products for hire and reward. e) You must not have had a courier agreement between you and Webdeli terminated on grounds of your breach of that agreement. f) You must not use any software or third-party applications that interfere in any way with the technical functioning of the App or any of our other systems, unless we have expressly approved them.
4.2 You agree to promptly notify us if at any time you are unable to meet the conditions set out at clause 4.1 of Section A and provide us with such evidence as we may from time to time require to confirm you are satisfying such conditions, including but not limited to compliance with the “right to work” checks set out at clause 4.3 of Section A below.
4.3 We may undertake periodic checks to confirm that the person using your account at the time of our check has the right to work legally in the UK. These checks may require the person using your account at the relevant time to submit a photo of them self and, if not already held by us, a photo of their applicable identity document(s) in order to confirm their identity.
5) Courier account and bank account
5.1 You agree to ensure that at all times:
a) you have only one active courier account with us; and b) the details of your courier account are accurate and kept up to date.
5.2 You agree:
a) to ensure that the bank account details you provide to us are accurate; b) to notify us promptly via the App. of any changes to such details (we need at least one week's notice of any changes before payments will be made to any new bank account); and c) that we are not responsible for any payment issues where we have used the bank account details you have provided to us.

6) Substitutes
6.1 You have no obligation to join Runs or undertake Deliveries for us personally and are free at any time and for any reason what so ever to engage a substitute to do so on your behalf.
6.2 To engage a substitute, you will need to give them access to your courier account by:
a) providing them with a phone on which you are logged in to the App; or b) by sharing your courier account details to enable them to log in to the App on their own phone.
6.3 In the event that you engage a substitute, you agree that you will:
a) be responsible for paying the substitute; and b) continue to be subject to all duties and obligations in this Agreement and any relevant Delivery Agreement(s).
6.4 You agree to ensure that any substitute you engage will comply with the terms of this Agreement and any relevant Delivery Agreement(s) as if they were you, and that any breach by the substitute of such terms amounts to a breach by you.
7) Payment
7.1 All fees in respect of Deliveries will be communicated to you via the App and the Webdeli Delivery Portal.
7.2 We will pay your fees weekly in arrears to your bank account. Direct deposit payments are made every Friday and include your fees from the previous week.
7.3 If you are not registered for VAT purposes, we will provide you with a statement detailing your fees.
7.4 If you are registered for VAT purposes, you agree that Webdeli will raise self-billed invoices on your behalf for the duration of this Agreement and you agree not to raise VAT invoices for any Deliveries you undertake.
7.5 You agree to accept each self-billed invoice and that you will be liable to account for any output VAT liabilities on your VAT return, based on the output VAT calculated by Webdeli, on the self-billed VAT invoices. Webdeli will not be liable for any unpaid VAT liabilities as a result of any errors on your UK VAT returns.
7.6 While it is not an obligation for you to be VAT registered, you must inform us if you are VAT registered and subsequently inform us immediately should your registration status change by emailing us at delivery@webdeli.co.uk. You must also inform us immediately if your VAT registration number changes or you sell all or part of your business.
7.7 The self-billing arrangement will start on the date that you accept this Agreement and will end when this Agreement terminates.
7.8 You understand and acknowledge that we will not withhold any income tax or national insurance contributions from any monies or fees paid to you.
8) Data protection
8.1 We will collect and process information relating to you in accordance with the Webdeli delivery Privacy Policy. We may hold some personal data relating to you, such as your name, address, bank details, phone number, as well as geo-location data, biometric data and other information relating to your provision of courier services.
8.2 You will comply with the Webdeli Delivery Privacy Policy and the Schedule to this Agreement when handling personal data in the course of undertaking the Deliveries.
9) Ending this Agreement
9.1 Without prejudice to clause 9.3 of Section A, either you or we may terminate this Agreement and end the relationship between you and us for any, or no, reason on giving the other party 7 days’ written notice.
9.2 We may terminate this Agreement with immediate effect if you have not accepted a Delivery Opportunity in any rolling 12-week period.
9.3 Without prejudice to any other right or remedy we may have against you, we may suspend or terminate the Agreement with immediate effect with no liability to make any further payment to you if at any time you:
a) fail to meet the conditions set out at clause 4.1 of Section A or fail to provide us with such evidence as we may require in accordance with clauses 4.2 or 4.3 of Section A; b) commit a serious or persistent breach of the terms of this Agreement; c) commit multiple breaches or a serious breach of the delivery service requirements set out in clause 2.1 of any relevant Delivery Agreement(s); d) are convicted of any criminal offence (other than a minor road traffic offence for which a fine or non-custodial penalty is imposed); e) fail to comply with the Webdeli Delivery Privacy Policy and/or the Schedule to this Agreement; f) commit any fraud; or g) commit any other act which we consider may negatively impact Webdeli's brand or reputation.
10) Modern Slavery
10.1 You warrant that at the date of this Agreement you have not been subject to any investigation, inquiry, or proceedings (enforcement or legal) related to slavery or human trafficking.
10.2 You must at all times:
a) Comply with the Modern Slavery Act 2015 and any equivalent anti-slavery laws, statutes, regulations, codes, and b) Notify us immediately if you become aware of any breach or suspected breach of such legislation in connection with this Agreement.
11) Additional Legal Terms
11.1 Entire agreement
Save for any Delivery Agreement(s) you and we may enter into, this Agreement constitutes the entire agreement between you and Webdeli and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral.
11.2 Variation
No variation of this Agreement will be effective unless it is in writing and signed by you and Webdeli (or our authorised representatives).
11.3 Severance
If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it will be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision will be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause 11.3 will not affect the validity and enforceability of the rest of this Agreement.
11.4 Third party rights
This Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.
11.5 Notices
Any notices to be served under this Agreement may be served by email using the following addresses:

- Email address for you: the email address you used when you created your courier account with us
11.6 Governing law
This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, will be governed by, and construed in accordance with, the laws of England and Wales.
11.7 Jurisdiction
Each party irrevocably agrees that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.
SECTION B
Run Terms and Conditions
1) Runs
1.1 You are under no obligation to notify us of your availability to potentially be allocated Delivery Runs or to select any Open Runs. It is entirely at your discretion if or when you indicate your availability via the App in order to potentially be allocated a Delivery Run or to select an Open Run.
2) Before the start of a Run
2.1 Before the start of a Run you can via the App (without any impact on your Delivery Opportunity ‘acceptance rate’ – see clause 5.4 of this Section B):
2.1.1 cancel the Run; or
2.1.2 arrange for a substitute to take over the Run.
3) After a Run has started
3.1 During a Run you can at any time via the App (without any impact on your Delivery Opportunity ‘acceptance rate’ – see clause 5.4 of this Section B):
3.1.1 cancel the remainder of the Run; or
3.1.2 arrange for a substitute to take over the remainder of the Run.
4) Pausing a Run
If at any time during a Run you do not wish to receive Delivery Opportunities, you can use the ‘pause’ function in the App without any impact on your Delivery Opportunity 'acceptance rate' - see clause 5.4 of this Section B. You will still be logged in to the Run, but you will not receive any Delivery Opportunities until you deactivate the ‘pause’ function.
5) Delivery Opportunities
5.1 You are not required to accept any Delivery Opportunities that we may offer. We do not commit to offer you a minimum number of Delivery Opportunities and we are not required to offer any Delivery Opportunities to you.
5.2 You may elect via the App or by email not to receive any Delivery Opportunities for orders that contain age-restricted items, including but not limited to: alcohol, tobacco, smoking products (such as vapes) and pharmaceutical products.
5.3 In order to be considered for Delivery Opportunities during a Run, you must for the period in which you wish to receive Delivery Opportunities during such Run:
a) be logged into the App on your mobile phone; and b) maintain active, valid and accurate geo-location and data services on your phone.
5.4 We will maintain a record of the Delivery Opportunities that you accept and decline, and we may use this data from your most recent 10 Delivery Opportunities to determine your Delivery Opportunity ‘acceptance rate’. We may use this ‘acceptance rate’ as part of our process of allocating Delivery Opportunities.
5.5 If you accept a Delivery Opportunity, a Delivery Agreement will be formed on the same terms and conditions set out in the Template Delivery Agreement at Section C of this Agreement to govern that Delivery.
SECTION C
Delivery Agreement
1) General
1.1 Terms that are defined in the Framework Courier Agreement between you and us have the same meaning in this Delivery Agreement.
1.2 This Delivery Agreement commenced when you accepted the relevant Delivery Opportunity, and will terminate immediately without notice:
a) when you have indicated via the App that the relevant order has been delivered to the customer in accordance with the details of the Delivery Opportunity; b) at the point we re-assign or cancel the Delivery; c) if you fail to collect an order within 15 minutes of the time specified in the Delivery Opportunity; or d) if you fail to deliver an order within 15 minutes of the time specified in the Delivery Opportunity.
1.3 You can arrange at any time and for any reason whatsoever for a substitute to undertake a Delivery.
2) Delivery service requirements
2.1 You agree:
a) to perform the Delivery with a reasonable level of care, skill and diligence and in compliance with all traffic, health and safety laws, food safety laws, rules and regulations; b) to keep your sealable, commercial grade, insulated food transportation bag clean (inside and out) to avoid food contamination issues or your none food deliveries must be kept clean. c) to comply with the details set out in the Delivery Opportunity, including (i) the time specified for collection from the restaurant or other business; (ii) the time specified for delivery to the customer and (iii) ensuring you deliver the order to the address set out in the Delivery Opportunity; d) to deliver all order items that you collect from the restaurant or other business, with materially the same quality and appearance as when you collected them, within an acceptable temperature range and without damaging the packaging of the order items; e) while delivering an order that contains age-restricted items, to verify the age of the recipient of such order in accordance with any instructions we may issue from time to time; g) that you will provide all necessary equipment and be responsible for all expenses necessary for you to undertake the Delivery; h) to maintain active, valid and accurate geo-location and data services on your phone for the duration of the Delivery; i) to obtain the unique delivery code from the customer and submit it via the Courier App upon successful delivery; j) to immediately inform us if you are involved in any accident or stopped by the police in relation to any alleged offence when undertaking the Delivery; and k) to co-operate with us in the event that there is an investigation of any incident or accident.
3) Payment
3.1 In consideration of you undertaking the Delivery, we will pay you in accordance with clause 6.7 of Section A of the Framework Courier Agreement between you and us.
3.2 If we cancel the Delivery due to the customer cancelling their order or for any other reason, you will receive payment (based on the distance you have travelled) up to the point of cancellation.
3.3 You must provide the delivery code once the Delivery is completed, as detailed in clause 2.1(i) of this Delivery Agreement. Failure to provide the delivery code may result in non-payment for that delivery.
Schedule – Data Protection and Confidential Information
1) All capitalised terms in this clause shall have the meaning given to them in Regulation (EU) 2016/679 and any and all applicable national data protection laws in the European Union as may be amended or superseded from time to time (Data Protection Laws).
2) You understand and acknowledge that webdeli.co.uk may process your Personal Data in accordance with Data Protection Laws and the Webdeli Delivery Privacy Policy.
3) In our capacity as a Data Controller, we may share Personal Data with you in accordance with the following description:
Types of Personal Data: name, address, email address and telephone number;
Duration of the Processing: until the earliest of (i) expiry/termination of this Agreement or (ii) the date upon which processing is no longer necessary for the purposes of either party performing its obligations under this Agreement (where applicable);
Nature of the Processing: collection, storage, duplication, deletion;
Purpose of the Processing: necessary for the provision of independent courier services in accordance with the Framework Courier Agreement between you and Webdeli; and
Categories of Data Subject: customers and authorised representatives of Webdeli.
4) You warrant that you will act solely as a Data Processor, process Personal Data only for the purpose of providing the services and comply at all times with the Data Protection Laws. You will maintain appropriate measures to ensure that the rights of the people to whom the Personal Data relates are protected. You will also implement and maintain appropriate technical and organisational measures to ensure a level of security appropriate to the risks presented by your processing of the Personal Data, and you must not transfer any Personal Data outside of the European Economic Area or appoint a third party to process the data without ensuring that the third party meets the same obligations as imposed under this Schedule.
5) If you process any Personal Data pursuant to this Agreement you will follow any instructions we give you in respect of that data, which may include activities like deletion or return of the data that assist and enable us to comply with our obligations under the Data Protection Laws.
6. You will not process the Personal Data for your own purposes except with our prior written approval. In particular, you will not send communications to customers except via any masked telephone number, hardware or software provided by us to you. You will immediately notify us on becoming aware of any actual or possible breach of this clause. You will indemnify us for any loss, damage, dispute or third-party claim incurred by us as a result of your breach of this clause.
7. During your performance of the services, you may have access to confidential information, including in respect of Webdeli Delivery, its related entities or third parties (Confidential Information). You agree that while you are registered with us to operate as an independent contractor and at all times thereafter, you will not, without prior written consent of Webdeli Delivery, except required by law or for you to obtain professional advice: (a) reveal, disclose or make known any Confidential Information to any person: or (b) use the Confidential Information for any purpose, other than for the purpose of providing the services.
